Software Terms of Use
Brio Health Global — Internal Software

1. Scope
These terms govern use of software developed by or for Brio Health Global (“Brio”) for its own internal administration, including integrations that connect Brio’s internal tools to third-party services such as Intuit QuickBooks Online.
This software is internal and private. It is not sold, licensed, distributed, or made available to the public, to customers, or to any organisation other than Brio. It has no public sign-up, and no third party operates it.
2. Permitted users and use
Use is limited to Brio employees, officers, and contractors who have been authorised by Brio, acting on Brio’s behalf and in the course of Brio’s own administration. Authorised users may not:
– use the software other than for Brio’s internal business purposes;
– share credentials, access tokens, or API keys with anyone not authorised by Brio;
– copy, distribute, sublicense, sell, or publish the software or its source; or
– connect the software to any account or data belonging to a third party without that party’s authorisation.
Authorisation ends when a person’s employment or engagement with Brio ends, or when Brio withdraws it.
3. Ownership
Brio retains all right, title, and interest in the software, including any modifications and derivative works. No licence is granted except the limited internal-use permission described in Section 2. Third-party components remain subject to their own licences.
4. Third-party services
The software connects to third-party services, including Intuit QuickBooks Online and Google Workspace, using credentials issued to Brio. Use of those services is governed by the agreements between Brio and each provider, not by these terms. Brio is responsible for its own use of those services and for the accuracy of the records it maintains in them.
5. Data
Data handled by the software — including correspondence, receipts, and financial records — is Brio’s own data or data Brio processes in the ordinary course of its operations. Brio’s Privacy Policy applies: https://startbrio.org/privacy-policy/
6. No warranty
The software is provided “AS IS” AND WITHOUT WARRANTY OF ANY KIND, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Brio does not warrant that the software will be uninterrupted, error-free, or that any output is accurate or complete.
Financial records remain a human responsibility. Output relating to accounting, expenses, or reimbursement is proposed for review and is not a substitute for review by a qualified person before it is relied upon or filed.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIO SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of data, revenue, or profits, arising out of or relating to the software, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
8. Changes
Brio may revise these terms at any time by posting an updated version at this address. The “last updated” date above indicates when the current version took effect.
9. Governing law
These terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules.
